NGX Corporate Filings Explained

Learn what NGX corporate filings are, where to find Nigerian company announcements and how investors can use them.

If you are serious about investing in Nigerian stocks, eventually you have to stop relying only on other people. A WhatsApp group might say a stock is about to explode. An influencer might say management is bullish. Meanwhile, the company's actual filings are sitting quietly online.

They are usually less exciting. They are also much more useful.

What is a corporate filing?

A corporate filing is information a listed company releases to the market. It can include financial statements, earnings announcements, dividend declarations, board changes, acquisitions, capital raises, rights issues, share transactions, corporate actions and material developments.

The purpose is transparency.

Why filings matter

Suppose a stock suddenly rises 15%. You could ask why everyone is buying. Or you could ask what the company actually announced.

Those questions can lead to very different conclusions.

Financial results

Financial results are among the most important documents investors encounter. Look for revenue, profit, EPS, assets, liabilities, cash flow, dividends and management commentary.

Do not just look at whether profit increased. Find out why.

Dividend announcements

Dividend announcements can materially affect income investors. Look for amount, qualification date, closure date, payment date, dividend type and whether the dividend is interim, final, special, proposed or approved.

Never assume the latest dividend will automatically repeat next year.

Rights issues and share capital changes

A rights issue gives existing shareholders an opportunity to subscribe for additional shares under specified terms. It can raise new capital and affect ownership percentage if you do not participate.

Changes in share capital can affect EPS, market capitalisation and ownership. Always monitor both company earnings and shares outstanding.

Board and management changes

Leadership matters. A new CEO, CFO or board appointment may not immediately change the share price, but it can matter greatly over time.

Ask who is replacing whom, why, what track record the person has and what strategy may change.

How to read a filing efficiently

Read the headline, find the key numbers, compare with previous periods, read management commentary and examine the notes when something looks strange.

A filing can be boring. That is fine. Boring documents often contain information that has not yet become a dramatic social-media headline.
